The Basics

A limited company is a corporation whose liability is limited by shares (Ltd), which is the most common form of privately held company in the United Kingdom. Registration of UK companies is done through Companies House. Limited company is regarded as a separate legal entity that exist under the authority granted by statutes.

Approval is required from Companies House before it can use its proposed name. Usually the owners or shareholders of a limited company are protected from the liabilities of the business. Rights and obligations are governed by the adopting a Memorandum and Articles of Association.

Annual Requirements

A UK limited company must file annual tax returns with HM Revenue & Customs. It must also file an annual return to Companies House.
